CBLIV

Sales & Order Terms

Effective Date: November 1, 2026

In these Sales & Order Terms, “CBLIV,” “we,” “us,” and “our” refer to Sanhe Zhoucheng Firm, a company registered in Sanhe, Hebei Province, People’s Republic of China.

These terms set out the general terms for made-to-order glassware projects handled by CBLIV. They apply only when incorporated by reference into an applicable quotation, proforma invoice, order confirmation, purchase order accepted by CBLIV, or other written project document.

1. Scope and Order Documents

These terms apply to both existing-design orders and custom development projects.

Depending on the project, the order documents may include the quotation, proforma invoice (“PI”), buyer purchase order (“PO”), order confirmation, approved samples, drawings, specifications, packaging artwork, inspection requirements, and written email confirmations.

Together, the applicable order documents define the scope of the project.

If order documents conflict, the following order of priority applies:

  1. a written amendment expressly agreed by both parties and identified as superseding an earlier document;
  2. the applicable PI or order confirmation, for price, payment, quantity, lead time, and trade term;
  3. approved samples, drawings, specifications, and packaging artwork, for the relevant product or packaging details;
  4. the quotation, to the extent not superseded by the PI or order confirmation; and
  5. the buyer’s PO, only to the extent expressly accepted by CBLIV in writing.

An email confirmation changes an order only to the extent that it clearly identifies the project requirement being changed and is agreed by both parties in writing.

The version of these Sales & Order Terms referenced in the applicable PI or order confirmation applies to that order.

2. Quotations and Order Confirmation

A quotation does not by itself constitute acceptance of an order.

Pricing, MOQ, packaging, payment schedule, Incoterms®, lead time, and product specifications are confirmed for each project in the applicable quotation, PI, order confirmation, or other written project document.

Unless otherwise stated in writing, quotations remain valid for thirty (30) calendar days.

A project enters production planning only after CBLIV receives written confirmation of the order and the deposit or prepayment stated in the applicable PI or order confirmation.

Any change to quantity, product specification, packaging, delivery requirement, or trade term may require a revised quotation, PI, or order confirmation.

3. Product Details, Samples, and Tolerances

Product details are based on the sample, drawing, dimensions, color, finish, packaging requirements, and other specifications confirmed for the project.

Where an approved sample is part of the project, it defines the acceptable range for the relevant product characteristics. Glassware, particularly hand-blown items, may show reasonable manufacturing variations in dimensions, weight, color, small bubbles, flow lines, and surface appearance, provided that the goods remain within the confirmed project requirements and approved reference standard.

No material change to the specification, color, size, packaging, or other confirmed project requirement is binding unless confirmed in writing by both parties before production.

4. Packaging, Labels, Buyer-Supplied Materials, and Destination Requirements

Outer cartons, inner packaging, barcodes, labels, stickers, inserts, and printed materials are produced according to the approved artwork and written instructions confirmed for the project.

The buyer is responsible for ensuring that any artwork, trademarks, barcodes, logos, brand materials, text, images, or other content supplied to CBLIV may be legally used for the order.

If the buyer requires a particular test, certificate, label, registration, material declaration, packaging rule, or other destination-market requirement, the buyer must notify CBLIV in writing before the PI or order confirmation is issued. Such requirement applies only when it is expressly included in the applicable project document.

If the buyer approves artwork and later requests changes, or if an error is identified after the buyer’s approval, the buyer will bear the reasonable, documented cost and schedule impact directly caused by that change or error.

5. Production, Inspection, and Delivery Planning

Production planning begins after CBLIV receives the deposit or prepayment stated in the PI or order confirmation and the required project documents are confirmed.

Inspection points, acceptance criteria, and any agreed sampling plan follow the written project confirmation between the parties.

Lead time is stated in the applicable quotation, PI, or order confirmation. Unless a fixed delivery date is expressly agreed in writing, stated delivery dates are estimates based on the information and conditions available when the order is confirmed.

Delivery planning may be affected by approval timing, material availability, production scheduling, carrier availability, port conditions, customs procedures, and other shipping conditions. If the delivery plan changes, CBLIV will communicate the updated plan in writing.

6. Payment and Title

Payment milestones, payment method, and payment timing are stated in the applicable PI or order confirmation.

Unless otherwise stated in writing, the balance payment must be received before shipment is released.

Title to the goods transfers only after CBLIV receives full payment for the applicable order, unless the PI expressly states otherwise.

Risk of loss or damage transfers in accordance with the applicable Incoterms® 2020 rule stated in the quotation, PI, or order confirmation.

Payment terms agreed for one project do not automatically apply to another project unless confirmed in writing.

7. Shipment, Customs, and Claims

The trade term stated in the applicable quotation, PI, or order confirmation determines the allocation of shipping, insurance, export procedures, import clearance, duties, taxes, and destination requirements under the applicable Incoterms® 2020 rule.

The buyer is responsible for import and destination requirements to the extent assigned to the buyer under the agreed trade term and any written project agreement.

Where the buyer nominates the carrier or freight forwarder, the buyer must provide complete and timely shipping instructions. The buyer will bear reasonable, documented additional storage, handling, demurrage, detention, or other charges to the extent caused by delayed, incomplete, or inaccurate buyer shipping instructions.

Claims for short shipment, visible transit damage, or apparent nonconformity must be submitted within ten (10) calendar days after receipt of the goods. Each claim must include reasonable supporting records, including photos, carton marks, quantity records, and other relevant shipment information.

Where visible transit damage is identified upon delivery, the buyer should note the damage on the delivery receipt or carrier record where reasonably possible.

Claims for non-apparent issues must be submitted promptly after discovery and no later than thirty (30) calendar days after receipt of the goods, together with reasonable supporting records.

No goods may be returned without CBLIV’s prior written authorization.

8. Claims and Remedies

If CBLIV confirms that a claim is valid, CBLIV may, at its option, provide a replacement, credit, refund, or another commercially reasonable remedy for the affected goods.

CBLIV will bear reasonable return freight only where CBLIV requests the return and confirms that the claim is valid.

To the maximum extent permitted by applicable law, CBLIV’s total liability for a claim relating to an order will not exceed the purchase price paid for the affected goods.

CBLIV will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from an order, except where such limitation is not permitted by applicable law.

9. Changes, Cancellations, and Force Majeure

After sample approval, material purchase, production scheduling, or packaging has started, changes or cancellations may create actual costs and schedule impacts.

Any change or cancellation must be confirmed in writing. The buyer will bear all reasonable, documented, non-recoverable direct costs already incurred for the project, including costs for material, tooling, labor, packaging, storage, and other project-specific work.

Neither party is responsible for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, fire, flood, war, civil unrest, government action, labor disruption, epidemic, port closure, carrier interruption, or material supply interruption beyond the affected party’s reasonable control.

Ordinary supplier delay, increased cost, or lack of funds will not by itself constitute a force majeure event.

The affected party will notify the other party promptly after becoming aware of the event. If the event continues for more than sixty (60) calendar days, either party may cancel the affected unperformed portion of the order by written notice. The buyer remains responsible for payment for goods completed, work performed, and costs properly incurred before cancellation.

10. Tooling and Buyer-Specific Designs

Tooling and mold charges are stated in the applicable quotation, PI, or order confirmation.

Ownership of paid tooling transfers to the buyer once the tooling charges are paid in full.

CBLIV will arrange storage of buyer-owned tooling for two (2) years after the last production order using that tooling. If no further order or written storage instruction is received during that period, CBLIV may discontinue storage after providing sixty (60) days’ written notice to the buyer.

Following that notice, the buyer may arrange collection or continued storage at the buyer’s cost. If the buyer does not provide instructions within the notice period, CBLIV may return, transfer, or dispose of the tooling in a commercially reasonable manner.

Project-specific tooling will not be used for other customers without the buyer’s prior written consent.

Buyer-specific drawings, logos, molds, packaging artwork, and other materials supplied for a project will be used only to perform that project unless otherwise agreed in writing.

The buyer is responsible for ensuring that all supplied designs, logos, artwork, molds, and other materials may be legally used and do not infringe third-party intellectual property rights.

11. Governing Law and Dispute Resolution

These terms and each order are governed by the laws of the People’s Republic of China, excluding its conflict of laws rules and the United Nations Convention on Contracts for the International Sale of Goods.

Any dispute arising from or relating to an order will be submitted to the court with jurisdiction over the place where CBLIV’s contracting entity is registered.

If these terms are translated into another language, the English version controls in the event of any inconsistency.
